SignalRound is operated by WisePunk, a commercial name of LA TODAY TOMORROW LTD ("Company", "we", "us"). By creating an account, accessing, or using SignalRound, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

SignalRound is a platform that enables teams to collect structured, private input from stakeholders through Signal Rounds. The Service includes features such as:

• Creating and managing Signal Rounds
• Inviting stakeholders to participate
• Collecting responses and attachments
• AI-powered synthesis and analytics
• Workspace and team management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

To use SignalRound, you must:

• Be at least 18 years old
• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Maintain the security of your account credentials
• Be responsible for all activities that occur under your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You retain ownership of all content you submit to SignalRound ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

You agree not to:

• Submit content that is illegal, harmful, threatening, abusive, or violates any laws
• Infringe on intellectual property rights of others
• Submit content containing viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use the Service for any purpose other than its intended use
• Interfere with or disrupt the Service or servers

SignalRound allows you to create workspaces and invite team members. As a workspace owner or administrator, you are responsible for:

• Managing workspace members and their access levels
• Ensuring that invited members have consented to participate
• Complying with applicable data protection laws when collecting stakeholder input
• Maintaining appropriate security measures for your workspace

You acknowledge that Signal Round data belongs to the workspace, and workspace owners have control over data retention and deletion, even after individual participants leave.

SignalRound uses AI-powered features, including synthesis and analytics, provided through third-party services. By using these features:

• You understand that AI-generated content is provided "as is" and may contain errors or inaccuracies
• You are responsible for reviewing and validating AI-generated content before relying on it
• You acknowledge that your Signal Round data may be processed by third-party AI services
• We do not guarantee the accuracy, completeness, or usefulness of AI-generated content

The Service, including its design, features, functionality, and content (excluding User Content), is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove or alter any copyright, trademark, or other proprietary notices
• Use our trademarks or logos without prior written consent

If SignalRound offers paid plans or features:

• You agree to pay all fees associated with your selected plan
• Fees are billed in advance on a recurring basis
• All fees are non-refundable unless otherwise stated
• We reserve the right to change our pricing with notice
• Failure to pay may result in suspension or termination of your account

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We may:

• Perform scheduled maintenance that may temporarily interrupt service
• Modify, suspend, or discontinue features with or without notice
• Update the Service to improve functionality or security

We are not liable for any loss or damage resulting from service interruptions or modifications.

You may terminate your account at any time by contacting us or using account deletion features. We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• You fail to pay required fees
• We are required to do so by law

Upon termination, your right to access and use the Service will immediately cease. We may delete your account and data, subject to our data retention policies and legal obligations.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

You agree to indemnify, defend, and hold harmless SignalRound, WisePunk, LA TODAY TOMORROW LTD, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, violation of these Terms, or infringement of any rights of another.

These Terms shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Cyprus.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
